Terms of Service

Effective Date: April 8, 2026

These Terms of Service (“Terms”) govern your access to and use of the website sterity.co and the services provided by Sterity LLC, a Michigan limited liability company (“Sterity,” “we,” “us,” or “our”). By accessing the website, completing an assessment, purchasing a service, or otherwise using our services, you (“you,” “Client,” or “your”) agree to these Terms. If you do not agree, do not use the services.

1. Who May Use the Services

The services are intended for businesses and the individuals authorized to act on their behalf. You represent that you are at least 18 years old and that you have authority to enter into these Terms on behalf of any organization you represent. The services are not directed to consumers or to children under 18.

2. Description of Services

Sterity provides operational assessments, diagnostic reports, AI-facilitated collaboration workspaces, and related consulting services for professional services firms. Current offerings include:

  • Health Check (Free). An AI-guided operational assessment that produces a diagnostic scorecard with scores, insights, and recommendations based on your responses. The Health Check may include an option to invite colleagues from your organization to complete their own assessments, which are aggregated into a multi-perspective company report.
  • Full Scorecard ($297, with renewal).A paid diagnostic that adds team perception-gap analysis and a prioritized action plan to the Health Check, and includes access to a paid AI-facilitated collaboration workspace (the “Ops Room”) for your organization — company and department rooms, an AI facilitator, action tracking, pulse checks, and related tools. Ops Room access is subject to the subscription and renewal terms in Section 4.
  • Living Picture (subscription). An always-on subscription that keeps your operational picture current on an ongoing basis, building on the Full Scorecard.
  • AI Build Engagement ($25,000–$40,000). Full-scope operational consulting engagements delivered under a separate Statement of Work (“SOW”). Each SOW will specify scope, deliverables, timeline, fees, and any terms that supplement or modify these Terms. In the event of a conflict between a SOW and these Terms, the SOW controls for that engagement.
  • Additional Services. Other engagements, workshops, or services that may be offered from time to time, each subject to their own scope and pricing.

AI-Powered Services. The Health Check, Ops Room, and related services use artificial intelligence, including large language models and speech-to-text models, to analyze your responses, generate scores, facilitate discussions, and produce recommendations. AI outputs are diagnostic and informational. They are not a substitute for professional accounting, legal, tax, financial, engineering, medical, or other licensed professional advice. You are responsible for any decisions you make based on our deliverables.

3. Accounts and Submitted Information

To use certain services, you may be asked to provide information about yourself, your organization, your team, your operations, your tools, and your processes. You agree that all information you submit is accurate, current, and complete to the best of your knowledge, and that you have the right to share it with us. You will not submit information you are contractually or legally prohibited from disclosing.

Multi-Person Assessments. If you invite colleagues from your organization to complete Health Check assessments, each participant consents to these Terms individually when they begin their session. You acknowledge that individual responses may be aggregated into company-level reports that are visible to other authorized participants from your organization. Individual responses may be attributed by role but are not attributed by name in aggregated reports.

Voice Input. Certain services offer an optional voice input feature. If you choose to use voice input, your audio is transmitted to a third-party transcription service for conversion to text. Audio recordings are processed in real time and are not retained by the transcription provider after processing. You are responsible for obtaining any required consent from individuals whose voices may be captured in your recordings.

4. Fees, Payment, and Refunds

Fees for paid services are stated at the time of purchase. Payment is processed through a third-party payment processor (currently Stripe). By purchasing, you authorize us and our payment processor to charge your selected payment method for the stated amount, plus any applicable taxes.

Ops Room Subscriptions.Ops Room access is sold as a subscription. Your subscription will automatically renew at the then-current price unless you cancel before the renewal date. You may cancel your Ops Room subscription at any time by contacting us at [email protected]. Cancellation takes effect at the end of your current billing period. We will not charge you for any period after cancellation takes effect. We will provide at least 14 days’ notice before processing any renewal charge.

Refunds. For one-time paid services (such as individual Ops Room purchases), all sales are final and no refunds will be issued once payment has been processed. For AI Build Engagements, refund and cancellation terms are governed by the applicable SOW. If we are unable to deliver a paid service due to a technical failure or error on our side, we will at our sole discretion either re-perform the service or issue a credit. This is your sole and exclusive remedy for non-delivery.

5. Intellectual Property

All software, algorithms, scoring models, frameworks, methodologies, templates, content, designs, branding, and other materials made available through the services are owned by Sterity or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the services and to use the deliverables we provide to you for your own internal business purposes.

You may not copy, modify, distribute, sell, sublicense, reverse-engineer, or create derivative works from the services or any deliverables, except as expressly permitted in writing by Sterity. You may share your own deliverables internally within your organization but not publicly or with third parties without our written consent.

Any feedback, suggestions, or ideas you provide to us about the services are non-confidential, and you grant us a perpetual, irrevocable, royalty-free license to use them for any purpose.

6. Your Data and Privacy

Your use of the services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains what information we collect, how we use it, and the choices available to you. We treat information you submit about your organization as confidential to the relationship between you and Sterity, subject to the terms of the Privacy Policy.

7. Acceptable Use

You agree not to:

  • Use the services in any way that violates any applicable law or regulation.
  • Submit information you do not have the right to share.
  • Submit information about identifiable individuals (other than yourself or your colleagues acting in their professional capacity) without their knowledge or consent.
  • Attempt to gain unauthorized access to the services, other accounts, or our systems.
  • Interfere with or disrupt the services, including by submitting malicious code, automated queries, scraping, or similar activity.
  • Use the services to develop a competing product or service, or to benchmark for competitive purposes.
  • Misrepresent your identity, your role, or your authority.

8. Third-Party Services

The services rely on third-party providers, including hosting, payment processing, email delivery, analytics, and AI infrastructure. Our core subprocessors are Anthropic (AI analysis), Supabase (database and hosting infrastructure), Resend (transactional email delivery), and Stripe(payment processing). We are not responsible for the acts or omissions of third-party providers, and your use of any third-party service is subject to that provider’s own terms and policies. 9. Disclaimers

The services and deliverables are provided “as is” and “as available,” without warranties of any kind, express or implied.

To the maximum extent permitted by law, Sterity disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, and uninterrupted or error-free operation. We do not warrant that any deliverable will produce any specific business outcome, return on investment, or improvement, and any forward-looking statements, benchmarks, scores, or recommendations are estimates based on the information you provide and on industry data.

Diagnostic outputs, scores, recommendations, and AI-generated content reflect our methodology applied to the information you submit. They are not professional advice and should not be relied upon as the sole basis for any business, financial, legal, or operational decision.

10. Limitation of Liability

To the maximum extent permitted by law, in no event will Sterity, its owners, officers, employees, contractors, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business, lost data, or business interruption, arising out of or related to the services, even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for all claims arising out of or related to the services will not exceed the greater of (a) the amount you paid to Sterity in the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100). For AI Build Engagements, liability is limited to the fees paid under the applicable Statement of Work.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability is limited to the greatest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Sterity and its owners, officers, employees, contractors, affiliates, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) any information you submitted that you did not have the right to share.

12. Termination

You may stop using the services at any time. We may suspend or terminate your access to the services for cause (including violation of these Terms) immediately upon notice. We may also discontinue or terminate your access without cause upon thirty (30) days’ written notice to the email address associated with your account.

Upon termination or expiration, your right to access the services ceases. For sixty (60) days following termination, you may request a copy of your data by contacting [email protected]. After that period, we may delete your data in accordance with our Privacy Policy.

If we terminate your access without cause during a paid subscription period, we will provide a pro-rata refund for the unused portion of your subscription.

Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

13. Force Majeure

Neither party will be liable for any delay or failure to perform its obligations (other than payment obligations) to the extent caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor disputes, government actions, power or internet failures, or failures of third-party infrastructure providers (including AI model providers, hosting services, and payment processors). The affected party will promptly notify the other party and use reasonable efforts to mitigate the impact. If a force majeure event continues for more than sixty (60) days, either party may terminate the affected services upon written notice.

14. Changes to These Terms

We may update these Terms from time to time. The current version will always be posted at sterity.co. Material changes will be reflected in an updated effective date at the top of this document. For material changes that adversely affect your rights, we will provide at least thirty (30) days’ advance notice via the email address associated with your account before the changes take effect. Your continued use of the services after changes are posted constitutes acceptance of the updated Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws principles.

Informal Resolution. Before initiating any formal proceeding, the parties agree to attempt to resolve any dispute arising out of or related to these Terms through good-faith negotiation for a period of at least thirty (30) days after written notice of the dispute.

Mediation. If informal resolution is unsuccessful, the parties agree to submit the dispute to non-binding mediation administered by a mutually agreed-upon mediator in Oakland County, Michigan, before commencing litigation.

Litigation. If mediation is unsuccessful or if either party declines mediation after thirty (30) days, any dispute will be brought exclusively in the state or federal courts located in Oakland County, Michigan, and you consent to the personal jurisdiction of those courts. To the maximum extent permitted by law, you and Sterity each waive any right to a jury trial.

16. Miscellaneous

These Terms, together with the Privacy Policy, any applicable SOW, and any order referencing them, constitute the entire agreement between you and Sterity regarding the services and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our written consent; we may assign them freely. There are no third-party beneficiaries.
